About the Position
The Senior Vice President of Internal Audit is a high‐exposure, hands‐on role that reports to the
Chairman of the Audit Committee and the Chief Accounting Officer. The role has primary
responsibility for the design and effectiveness of the internal audit strategy and Enterprise Risk
Management and oversees a global team of internal and co‐sourced professionals in the areas
of financial, operational, compliance and technology audit.
The successful candidate will be someone who leads by example, drives team enthusiasm, and
has a proven track record of developing talent to the highest levels. In addition, the successful
candidate will demonstrate a strong sense of urgency and personal commitment.
JOB RESPONSIBILITIES
- Serve as an objective and independent, business advisor related to financial, strategic, operational and internal control risks to the executive management of the Company (primarily in the exercise of the department’s duties under its charter).
- Design and execute the Company’s internal audit strategy and dynamic risk assessment that considers inputs from the Audit Committee and internal/external assurance functions, results of the Enterprise Risk Management program and past organizational experience, for purposes of establishing internal audit plans, identifying other internal audit needs of the Company and reporting the results of audits to the stakeholders.
- Design and implement an Enterprise Risk Management program to identify, assess, respond, monitor, and report on risks on an ongoing basis in close collaboration with business stakeholders to address regulatory, investor, and customer inquiries regarding the organization’s risk profile.
- Partner with the senior leadership team to drive risk identification in areas such as financial, operations, compliance and technology.
- Ensure the function is aligned to leading internal audit methodologies, processes, training, and programs in accordance with Institute of Internal Audit (IIA) standards and other leading industry standard setters.
- Provide risk and control insights to all levels of the organization, including, the Audit Committee, Executive Leadership, and senior management to drive enhancements to the Company’s control environment.
- Ensure that the highest control standards are maintained including those related to stewardship of assets and integrity of financial transactions.
- Provide timely progress updates to the Audit Committee and Executive Management on the audit lifecycle including corrective management action plans.
- Recruit, mentor, train and manage a professional audit staff with sufficient knowledge, skills, experience, and professional certifications to deliver on the annual audit plan.
- Partner with Legal and People & Culture leadership to perform Global investigations in areas such as fraud, and code of conduct violations and make recommendations based on the investigation.
- Participate in risk and compliance steering committees with Senior Leaders including Cybersecurity Committee, Environment, Social, Governance (ESG) committee, Compliance Committee, etc.
This role will also be responsible for the oversight and managing the company’s established Sarbanes‐Oxley (“SOX”) compliance program.
- Lead annual SOX scoping activities and develop a scoping and internal control over finance reporting (ICFR) risk assessment plan.
- Liaise with the Company‘s external auditors, primarily for the purpose of audit coordination and planning, and in the identification and assessment of SOX control deficiencies.
- Oversee the quarterly SOX certification and management representation processes.
- Collaborate frequently with senior management and provide updates on the progress of the overall SOX program including SOX program scope, project activities, training programs, deficiencies, and remediation activities.
QUALIFICATIONS (Required & Preferred)
- Bachelor s Degree in Accounting/Finance. CPA, CIA preferred
- 15+ years of progressive Finance and/or Audit experience‐leadership roles
- Experience in the Media industry is a major plus
- Leadership and management skills with a proven track record of building, leading and managing a team
- Excellent writing and communication skills; and ability to effectively interact with personnel at all levels of the company
- Strong computer skills for presentation and analysis of data
- Highest level of personal integrity, ethics, initiative, and strong interpersonal skills
